Board Responsibilities

Per the Board Formation Document, the Board of Directors is responsible for:

Upholding the mission and values of Wave & See Creative Sanctuary. Fiduciary oversight, including budget approval and financial accountability. Supporting fundraising and strategic partnerships. Oversight of programs, events, and long-term planning. Attending monthly board meetings and voting on major organizational decisions.

Board Steward Duties

Per the Board Steward Agreement, all Board Stewards agree to:

Act in the best interest of the Sangha and the nonprofit. Uphold fiduciary, legal, and ethical responsibilities. Protect community safety and organizational integrity. Disclose conflicts of interest. Maintain confidentiality where required. Participate in mediation and conflict resolution when needed. Participate within a realistic energetic capacity.

Board Stewards understand that governance authority is distinct from studio use, program facilitation, or financial contribution.

Officers

Per Article IV of the Bylaws, officers are elected annually by the Board and include:

President — presides over meetings and oversees governance. Vice President — assists and substitutes for the President. Treasurer — oversees financial records and reporting. Secretary — maintains official records and minutes. Executive Director — manages day-to-day operations and implementation of Board decisions.

How Ratification Works

Each proposed Board Steward receives a unique ratification link. They review all governance documents — bylaws, charter, agreements, and protections — then formally accept their position with an electronic signature. Once all members have ratified, the board is fully constituted.
